How it happened
Criteo was founded in Paris in 2005 by Jean-Baptiste Rudelle, Franck Le Ouay and Romain Niccoli. It sells retargeting ads that follow shoppers around the web after they visit a retailer's site, and later added retail media, selling ads on retailers' own sites. It listed on Nasdaq in October 2013 at $31 a share.
Its stock closed at $55.39 on May 25, 2017, which with about 64.8M shares outstanding implies a market value of about $3.6B. Later that year Apple's Safari privacy changes cut into the browser cookies its ads relied on.
In December 2017 Criteo lowered its fourth-quarter outlook, and the shares fell nearly 27% in midday trading, AdExchanger reported. The market value dipped below $1B in early 2020, then recovered.
It fell back under $1B in 2026 as Criteo cut its outlook twice, citing reduced work for two retail media clients; in August it guided to a 10% to 12% drop in contribution ex-TAC for the year. Criteo moved its legal home from France to Luxembourg in July 2026 and plans to become a Delaware company on January 1, 2027.
