How it happened
Talkspace is a digital mental-health platform offering online therapy. It went public via SPAC in June 2021 at roughly a $1.4B valuation, but subscriber and growth challenges drove its shares down, taking its market cap below $1B during 2022. By 2026 it agreed to be acquired by Universal Health Services for about $835M ($5.25/share), a deal shareholders approved in May 2026. Clinicians' Glassdoor reviews from the post-SPAC years described a mid-2022 wave of layoffs paired with tougher productivity targets β a 30-billable-hour weekly quota and heavy caseloads that many tied to burnout β plus frequent, sometimes-reversed policy and pay-structure changes, conversions from salaried to contractor roles, and thinly staffed provider and customer support.
